The Company reserves the right to modify these Terms at any time, with or without notice. Continued use after such updates constitutes acceptance of the revised Terms.

Corporate entities must be legally registered and authorized to conduct trade.
By using our services, you confirm that all information provided is accurate, truthful, and lawful.
You may browse, download, or print website materials for legitimate business purposes.

Misrepresentation, impersonation, or submission of false information.

All orders must be submitted in writing via email or through the Shya Customer Portal.
Order confirmation is required in writing and may be subject to advance payment.
Minimum order quantities apply as per product type.
Prices are quoted in USD, EUR, GBP, AED, or INR.
Taxes, duties, and bank charges are borne by the buyer unless specified otherwise.
Shipments follow Incoterms 2020 (typically FOB, CIF, or DDP).
Estimated delivery times are indicative; delays due to customs or force majeure are not breaches of contract.
All shipments include marine insurance up to the invoice value unless otherwise agreed.
Title transfers upon full payment.
Risk passes as per agreed Incoterm at the time of delivery.
Cancellation requests must be received before shipment.
Confirmed orders may incur restocking or administrative fees.
Accepted only for defective or incorrectly shipped goods.
Proof and written approval must be submitted within 7 days of receipt.
Accepted methods: Bank Transfer, Letter of Credit (LC), or Online Payment Gateway.
Payment must be made within the agreed credit period (e.g., 30 or 60 days).
Late payments incur 1.5% monthly interest.
All conversion and transfer fees are the buyer’s responsibility.
All invoices and documents are digitally signed and available via the Customer Portal.
All shipments comply with DGFT, Customs, and Port Authority guidelines.
Packaging meets international safety standards for pharmaceuticals and chemicals.
Real-time shipment tracking is available through the online dashboard.
The Company is not liable for delays due to transport strikes, weather disruptions, or regulatory holds.
Products are warranted to meet the specifications in the Invoice or Certificate of Analysis (COA).
No other warranties, express or implied, apply beyond those explicitly stated.
Company liability is limited to replacement or refund of invoice value only.
Consequential, punitive, or incidental damages are excluded.
Clients must ensure compliance with import and trade regulations in their respective countries.

FSSAI, WHO-GMP, REACH, and HACCP certifications
Indian Environmental & Labour Regulations
The Company is not liable for failure to perform obligations due to events beyond control, including natural disasters, war, strikes, sanctions, or government restrictions.
All communications, proposals, and pricing shared between the Company and Clients are strictly confidential and may not be disclosed without written consent.
All trademarks, trade names, product designs, and proprietary data remain the exclusive property of Shya Exports Pvt. Ltd.
Use of our logo, brand identity, or creative assets requires prior written approval.
Disputes shall be settled as follows:
Negotiation – Amicable resolution within 30 days.
Mediation – Conducted in Chennai under the Arbitration and Conciliation Act, 1996.
Arbitration – Binding arbitration by a single mutually appointed arbitrator.
Jurisdiction – Courts of Chennai, Tamil Nadu, shall have exclusive jurisdiction.
Access may be suspended or terminated if:
User violates these Terms.
Fraudulent activity is detected.
Regulatory compliance is compromised.
Clients agree to indemnify and hold harmless Shya Exports Pvt. Ltd., its employees, and representatives from any claims arising out of misuse, non-compliance, or breach of these Terms.
The Company’s liability shall not exceed the total order value in question.
Indirect, punitive, or consequential damages are expressly excluded.
These Terms are governed by the laws of India, subject to the exclusive jurisdiction of Chennai courts.
For cross-border contracts, UNCITRAL and WTO conventions apply where relevant.
